Gravel Pit Lease Agreement

This leasing and mining contract dates from August 31, 2004 (the “leasing” or “contract”), from and between Ready Mix, Inc., a Nevada company (“RMI” or “Lessee” or “Party”) and Rocky Mountain Mining, LLC (“Oliver” or “Lessor” or “Party”). Landlords and tenants agree to meet the following specifications and conditions. A lot in the Southwest Quarter of Section 22, Township 2 South, Range 8 East of the Gila and Salt River Base and Meridian, Pinal County, Arizona, described as follows: Month 1 to 3 – 10,000 tons from month 4 to 6 – 15,000 tons from month 7 to 9 – 20,000 tons . . At WITNESS WHEREOF, the parties executed and delivered this lease at the time of the first written execution and delivery. EXHIBIT B SPECIFICATIONS AND CONDITIONS OF SAND AND GRAVEL PLANT OR ASPHALT PLANT OPERATION AND LANDFILL/BACKFILL ACTIVITIES In the event of subletting, the tenant will not comply with its obligations under this rental agreement, but is therefore liable unless the landlord and tenant have terminated the rent in writing. All subleases and/or transfers of this lease are subject to the prior written consent of the lessor. . DEBUT At the southwest corner of Section 22 above; The Tenant pays the royalties for materials extracted and processed from the premises: THENCE North 89 degrees 54 minutes 46 seconds East, 2635.75 feet; A NON-EXCLUSIVE EASEMENT for entry and exit on the north 40.5 feet west 469 feet south 505.5 feet from the same southwest quarter of Section 22, Township 2 South, Range 8 East of Gila and Salt River Base and Meridian, Pinal County, Arizona. THENCE North 00 Degrees 01 minutes 00 seconds West along the west line of Section 22, 505.50 feet; This lease can be terminated immediately, at the owner`s choice, without further announcement and without any obligation to the owner.
